Corporate Governance
The enactment of the Sarbanes-Oxley Act of 2002 and some highly publicized cases of failure of corporate governance (CG) have reminded us of the importance of CG to investors. The purpose of this session is to provide a systematic review of the theory and literature on CG in order to address its practical implications. The treatment takes a financial approach to the subject, emphasizing impact on firm values and returns to investors. While the issues are thoroughly discussed, the treatment is data-driven with substantial empirical evidence brought to the classroom. In addition, CG issues are illustrated through some mini-cases.
Session 2: Roy Lewicki
Negotiations
Executives negotiate all the time. But they seldom realize that there are distinctly different strategy and tactics in negotiation for different situations and in different relationships. In this program, we will focus on how executives can use appropriate negotiation strategy and tactics in the right situations. Lecture, discussion and role plays will be used.
Session 3: Jay Barney
Advanced Strategic Management
On a recent trip to a large bookstore in Portland Oregon, I counted over 360 books in the section labeled “strategic management.” This huge range of books had at least two things in common. First, they each presented some “new” approach to thinking about strategic management. Second, they each described the ideal way that this “new” approach should be applied in organizations. At that moment, what struck me was that what was needed was not just another one of these books, but a book that focused on the real problems of applying strategic management ideas in real organizations. My co-author, Trish Clifford, and I struck on the idea of writing a “business novel”—a fictional story about a very realistic company facing a difficult strategic choice—as a way to not introduce new models or theories, but rather, as a way to talk about the challenges associated with implementing the models and theories we have. We have completed the first half of our book, Clear Air Turbulence: Making Strategy Happen in Real Organizations—A Business Novel and it will be shared with the OSU Executive MBA Alumni. We expect even the incomplete book will generate some interesting discussions.
